Terms of Service
These Terms of Service govern use of the LADesign website and the supply of drafting, modelling, and design services by LADesign, a Perth, Western Australia based business. They are intended to set practical expectations around scope, quoting, payment, intellectual property, liability, and client responsibilities.
1. Acceptance and application
These Terms of Service apply to your use of the LADesign website and to any quote, proposal, project, deliverable, or service supplied by LADesign unless different written terms are expressly agreed.
By using the website, requesting a quote, instructing us to begin work, approving a proposal, or continuing with a project after receiving written terms, you accept these Terms of Service to the extent they apply.
2. Website use
You may use this website for lawful informational and business purposes only. You must not misuse forms, attempt unauthorised access, interfere with functionality, introduce malicious material, or reproduce content in a misleading or infringing way.
Website content is general information only and may change without notice. We do not guarantee uninterrupted availability, complete accuracy, or suitability of website content for every purpose.
3. Quotes, scope, and variations
Quotes are based on the information, assumptions, and scope available when they are prepared. Unless stated otherwise, a quote may lapse if not accepted within the stated validity period or, if none is stated, within a reasonable time.
If drawings, dimensions, materials, standards, intended use, functionality, or deliverables change after acceptance, LADesign may treat that change as a variation and revise fees, timing, or deliverables before continuing.
We may rely on information supplied by the client or the client's representatives. If that information is inaccurate, incomplete, or delayed, project outcomes, pricing, and delivery timing may be affected.
4. Nature of services
Unless expressly agreed in writing, LADesign provides drafting, CAD modelling, concept development, fabrication-oriented documentation, and related design support only.
We do not provide survey services, site verification, building approvals, statutory compliance sign-off, professional engineering certification, or regulated design registration unless specifically included in writing.
5. Client responsibilities
The client is responsible for reviewing and approving deliverables promptly, supplying complete and accurate source information, and verifying site conditions, measurements, load requirements, installation conditions, manufacturing suitability, and regulatory obligations before relying on any deliverable.
If a project requires review or certification by a licensed engineer, builder, surveyor, fabricator, or other specialist, it is the client's responsibility to obtain that review unless we have expressly agreed otherwise in writing.
6. Timing, drafts, and revisions
Any delivery timeframe is an estimate unless expressly stated as fixed in writing. Timeframes may change due to revised instructions, missing information, delayed approvals, supplier delays, technical issues, or circumstances outside our reasonable control.
Where revisions are included, they apply only to changes that remain within the approved scope and original design direction. Substantial redesign, additional options, or changed deliverables may be charged separately.
7. Fees, deposits, invoices, and GST
Fees, deposits, stage payments, and invoice timing are as stated in the accepted quote, invoice, or written agreement. Unless stated otherwise, all amounts are in Australian dollars and may be subject to GST where applicable.
LADesign may require a deposit or upfront payment before commencing work, and may pause work or withhold deliverables if invoices remain unpaid after the due date.
If a project is delayed or suspended because of client inaction, we may invoice work completed to date and may revise pricing or schedules before restarting the project.
8. Cancellation and suspension
A client may request cancellation of a project, but LADesign may charge for work already completed, time already allocated, non-recoverable commitments, and reasonable administration costs associated with closing the job.
We may suspend or terminate work if invoices are overdue, instructions are unclear, supplied information appears unreliable, the project scope materially changes without agreement, or the working relationship becomes impractical or unsafe.
9. Intellectual property and deliverables
Unless otherwise agreed in writing, LADesign retains ownership of pre-existing know-how, templates, drafting methods, internal systems, and working files created in performing the services.
Once all applicable fees are paid, the client receives a non-exclusive licence to use the final deliverables for the specific project and purpose for which they were commissioned. Editable native files, source files, manufacturing packs for third parties, or reuse rights are only included if expressly stated.
The client warrants that any files, drawings, logos, photos, or information supplied to LADesign may be lawfully used for the project and do not infringe another person's rights.
10. Confidentiality
Each party should keep the other party's confidential project and business information confidential, except where disclosure is reasonably required to perform the services, obtain professional advice, recover debts, or comply with law.
11. Consumer law, liability, and reliance
Nothing in these terms excludes guarantees, rights, or remedies that cannot be excluded under Australian Consumer Law or any other non-excludable law.
Subject to those rights, LADesign excludes liability for indirect, incidental, special, or consequential loss, including loss of profit, production delay, business interruption, or loss arising from third-party fabrication, installation, certification, or approval decisions.
To the maximum extent permitted by law, LADesign's liability for any claim relating to the services or website is limited to resupplying the affected service, correcting the relevant deliverable, or refunding the portion of fees paid for the affected service, at our election.
Deliverables must not be relied on beyond the agreed scope, intended use, design assumptions, and revision state. If dimensions, loads, finishes, fabrication methods, or site conditions change, the deliverables may no longer be suitable without further review.
12. Third-party links and third-party use
The website may contain links to third-party websites or references to third-party products or providers. Those references are provided for convenience only and do not amount to endorsement or responsibility for third-party content or services.
If a client shares LADesign deliverables with third parties, the client remains responsible for ensuring those third parties independently assess suitability for their own work.
13. Governing law and contact
These Terms of Service are governed by the laws of Western Australia and, where applicable, the laws of the Commonwealth of Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
If any part of these terms is found unenforceable, the remaining terms continue to apply to the extent permitted by law.
